Stock in companies that have not registered their shares for sale in the public market is considered private stock. These shares are not listed on any exchange, and the market for these shares is extremely limited. Economic benefit for shareholders sometimes comes in the form of dividends issued to shareholders, but often is not realized until a liquidity event such as the company "going public" or a sale of the company. Before one of these events, there is no assurance for buyers that they will be able to resell the shares. In addition, private companies are not generally required to disclose financial information as public companies are. This makes valuation of shares even more difficult.
